Agreement Overview
This Agreement ("Agreement") sets the terms and conditions between 10 Digits ("Provider") and you, the End-User ("End-User"), for using VoIP phone services and associated equipment. By activating these services, you confirm that you have read, understood, and agree to all terms outlined here. To enter into this Agreement, the End-User must be at least 18 years old.
Key Terms and Service Provisions
- Service Term
Our services are provided on a month-to-month basis, with no long-term commitments unless specified otherwise. The agreement renews automatically every month unless you notify us of cancellation at least 30 days in advance. - Billing and Payment
Upon service activation, you’ll need to provide valid payment information (credit card, check, or bank account). Monthly fees are billed in advance, and any additional charges like toll fees will be billed at the end of each month. If payments are not received by the due date, a late fee of $10 per billing cycle will be applied. Accounts overdue by more than 60 days may be suspended or terminated. - Service Suspension and Restoration
If your account is suspended due to non-payment, services will only be restored once all outstanding invoices are settled. A $50 service restoration fee will be added to your next billing cycle, and restoration may require an updated payment method or deposit. - Billing Disputes
If you have any billing disputes, please report them within 30 days of receiving the relevant invoice. After this period, you waive your right to dispute any charges. - Emergency Services (911)
We offer Enhanced 911 (E911) services, which transmit your registered address and phone number to local emergency response centers. It's your responsibility to keep your address on file accurate and up-to-date. Please note that VoIP services depend on electrical power and internet connectivity, so they may not be available during outages. - Equipment Usage
Any equipment provided by us should only be used with the services we provide. If your equipment is lost, stolen, or damaged, please report it immediately. You’re responsible for replacement costs. - Promotional Equipment Offers
If you receive equipment free of charge during a promotion and cancel your service within 6 months, the equipment must be returned in good condition. If not, you’ll be charged the full value of the equipment. - Fair Usage Policy
Unlimited usage plans include up to 5,000 minutes per month. If you exceed this, additional charges of $0.09 per minute will apply. We may monitor usage patterns to prevent abuse of unlimited plans. - Technical Support
Standard technical support is provided for service-related issues. Non-service-related support (e.g., custom configurations) will be billed at $165 per hour.
Unauthorized Use of CRM Tools and Automated Dialers
- CRM Tools and Dialers
Using any Customer Relationship Management (CRM) tools or automated dialer programs with our PBX servers without prior written approval is prohibited. This includes third-party CRM software or dialing systems.
If we discover CRM tools being used without approval, your service will be disconnected immediately, and payment will still be required until the issue is resolved. You must contact us before using any CRM tools so we can review the software’s integration with our system. - Toll Fraud Responsibility
If CRM tools or automated dialers lead to toll fraud or unauthorized charges, you’re 100% responsible for those charges. This includes actions where CRM tools were installed without our knowledge or security measures were bypassed. You agree to indemnify us from any liabilities, losses, or costs resulting from unauthorized CRM tool use. - Security Circumvention
Circumventing our security measures, like firewalls or access controls, to install CRM tools or dialers is strictly prohibited. - Plan Upgrade for CRM Tools
If you want to use CRM tools or dialers with our PBX system, you must upgrade to a plan that supports this. Additional charges may apply to accommodate the increased call volumes or resources required for CRM integration. - Liability for Charges
You’re fully liable for any additional charges related to unauthorized CRM tool use, including toll fraud, bandwidth overages, and any associated costs.
Other Important Terms
- Supremacy of Agreement Terms
This Agreement supersedes any conflicting terms presented by you in other documents, such as purchase orders or specifications. - Billing and Payment Details
Invoices may include charges for activation, service fees, tolls, taxes, and other applicable costs. Toll charges exceeding $100 in a single month may be billed immediately. - Service Restoration Terms
Services will only be restored once all outstanding dues are paid. A $50 restoration fee applies, and a deposit may be required to resume service. - 911 Emergency Services Limitations
Ensure that your VoIP device’s registered location is accurate to avoid delays in emergency response. VoIP services are unavailable during power or internet outages. - Prohibited Uses
The use of services for telemarketing, auto-dialing, or any activities deemed excessive or inconsistent with residential or small business use is prohibited without prior written consent. - Dispute Resolution
Any disputes will be resolved through mandatory arbitration under Utah state law, and the decision will be final and binding. - Privacy and Data Usage
We respect your privacy and will not sell or share your personally identifiable information without your consent, unless required by law. Your data is used solely for service provision. - Service and Plan Modifications
We reserve the right to modify service terms, pricing, and plans with at least 30 days’ notice (24 hours for international rates). Continued use of services after such updates constitutes acceptance of the new terms. - End-User Responsibilities
You’re responsible for keeping your contact information up to date to ensure uninterrupted service and accurate billing. - Liability Limitations
Our liability is limited to the amount paid by you in the 12 months prior to any claim. We’re not liable for data loss or indirect damages. - Termination Policy
To terminate your service, a 30-day notice is required. If notice is not provided, a $500 termination fee will apply. Monthly fees are not prorated upon termination.
